PUBLIC OFFER AGREEMENT

PUBLIC OFFER AGREEMENT (hereinafter referred to as the "Agreement")

This Agreement constitutes a formal public offer addressed to any individual or legal entity expressing an intent to receive coaching services in English communication specifically tailored for professionals in the pharmaceutical industry (hereinafter referred to as the "Client"). Acceptance of the terms of this Agreement is deemed to occur upon the Client’s acceptance of the offer, which constitutes the execution of a written contract under the terms specified herein.

1. Definitions and Interpretations

1.1. Offer – A public proposal made by the Coach (Executor) to enter into this Agreement under the terms outlined in this document.

1.2. Acceptance – The full and unconditional acceptance of the terms of this offer by the Client, executed through payment for the services or other confirmation of intent to receive such services.

1.3. Executor (Coach) – The individual, a qualified English communication coach specializing in the pharmaceutical industry, providing coaching services.

1.4. Services – Tailored English communication coaching services, including but not limited to consultations, specialized courses, personalized training, and other activities aimed at enhancing the Client’s proficiency in English communication within the pharmaceutical industry context.

2. Subject Matter of the Agreement

2.1. The Coach (Executor) agrees to provide the Client with coaching services in English communication for the pharmaceutical industry under the terms of this Agreement. The Client agrees to pay for such services as specified in this Agreement.

3. Service Delivery Conditions

3.1. Services will be delivered online at mutually convenient times.

3.2. The duration and schedule of the Services will be determined according to the agreed-upon timetable between the Coach and the Client, tailored to the Client's needs and industry requirements.

4. Service Fees and Payment Terms

4.1. The cost of the Services is determined based on the selected service package, as indicated on the Coach’s website or as mutually agreed upon.

4.2. Payment for services shall be made via invoice or by bank transfer to the Coach’s designated bank account.

4.3. The Client agrees to remit full payment prior to the commencement of services or as per prior arrangements agreed upon with the Coach.

5. Rights and Obligations of the Parties

5.1. The Coach agrees to:

  • Provide the Services in accordance with the terms of this Agreement and in a professional manner that aligns with industry standards.

  • Ensure the quality and relevance of the Services provided, focusing on the specific needs of the pharmaceutical sector.

5.2. The Client agrees to:

  • Make payments for the Services promptly.

  • Provide necessary background information regarding their professional communication needs within the pharmaceutical industry for personalized coaching.

  • Participate actively in sessions and provide feedback to ensure the coaching is tailored to their professional requirements.

6. Liability of the Parties

6.1. The Coach shall not be liable for failure to deliver or improper delivery of the Services if such failure is due to the Client’s provision of false, incomplete, or inaccurate information related to their professional needs.

6.2. The Client is responsible for ensuring timely payment for the Services.

7. Refund Policy

7.1. The Client is entitled to request a refund if they are dissatisfied with the quality of the Services or if the Services provided do not meet the expectations set out at the time of agreement.

7.2. Refund Request Procedure:

7.3. Refund Process:

  • Refunds will be issued to the same bank account from which payment was made, or to an alternative account provided by the Client, within 10 (ten) business days.

7.4. Partial Refunds:

  • If the Client has utilized part of the Services and requests a refund for unused services, the refund will be calculated based on the remaining, unused portion.

7.5. Denial of Refund:

  • If the Client has received the full range of services and has not raised any complaints within 30 days of service completion, the Coach reserves the right to refuse a refund.

 

8. Miscellaneous Provisions

8.1. This Agreement will become effective immediately upon the Client’s acceptance of the offer.

8.2. The Coach reserves the right to amend the terms of this Agreement, which will be published on the Coach's website. Such amendments will be considered effective immediately upon publication.
